Geeta Puri Seth, company secretary, Viom Networks, is responsible for compliance and governance issues of the company. She has expertise in handling initial public offerings, mergers and acquisitions, joint ventures, capital restructuring, etc.

Commenting on the ever evolving corporate landscape in the industry, she says, “There has been a renewed interest in corporate governance practices across organisations and sectors, particularly in relation to accountability and transparency.”

In addition to her legal and governance knowledge, Seth’s role at Viom Networks demands a fusion of her business acumen, strategic understanding and soft skills. For her, the challenge is to ensure that the company keeps pace with innovative governance practices that are evolving in response to global financial dynamics, greater stakeholder awareness and the urge to thrive in uncertain times.

A chartered accountant by qualification, Seth has 23 years of industry experience. Over the years, she has worked with several companies such as Fortis Healthcare Limited, Electrolux Kelvinator Limited and the Jaypee group of companies.

Although all her assignments have been equally challenging, Seth counts her current role at Viom Networks as amongst the most challenging of her career. “I have been a part of a team that turned around the company in the toughest phase in the history of the Indian telecom industry – during the cancellation of 2G licences and the accompanying regulatory uncertainty. ”

Seth points out that in difficult times, what worked for Viom Networks was its board of directors’ commitment to transparency of management choices, efficiency and effectiveness of the internal control system, strict discipline of potential conflicts of interest, and firm principles of conduct for transactions with related parties.

Providing insights into her approach at work, Seth says, “Every board member is different. One needs to deal with a multitude of personalities and understand their individual expectations. Not only does one have to provide valuable guidance on wide-ranging issues such as corporate governance, finance and operations, but one has to gain access to and work with the management of the company to develop a thorough understanding of the business.”

When not dealing with the top management, Seth enjoys reading and spending time with her family.
